End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and ArborNature Site Solutions, Inc. ("Company", "we", "us", or "our") governing your use of the ArborNature Site Solutions web application and related services ("Application").

By accessing or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Application.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your internal business purposes in connection with site construction, landscaping, and related services. This license does not include the right to sublicense, distribute, or otherwise make the Application available to third parties.

2. Account Registration

Access to the Application requires an account created by an authorized administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use.

3. Acceptable Use

You agree not to:

• Use the Application for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the Application or its systems
• Reverse engineer, decompile, or disassemble any part of the Application
• Transmit viruses, malware, or other harmful code
• Interfere with the operation of the Application or other users' access
• Use the Application to process payments or financial transactions in a fraudulent manner

4. Third-Party Integrations

The Application may integrate with third-party services including but not limited to QuickBooks Online, payment processors, and email services. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or functionality of third-party services. By connecting your QuickBooks account, you authorize us to read and write invoice, customer, and payment data on your behalf.

5. Payment Services

ArborNature Site Solutions, Inc. utilizes Intuit Payments Inc. as its payment processor for electronic payment services facilitated through the Application's QuickBooks Online integration. Payment processing services are provided by Intuit Payments Inc.

ArborNature Site Solutions, Inc. operates under an agreement with Intuit Payments Inc. to facilitate payment processing on behalf of its users. By using the payment features of the Application, you agree to the applicable terms and conditions of Intuit Payments Inc., available at https://www.intuit.com/legal/.

We do not directly process, store, or handle credit card numbers or bank account details. All payment processing is securely handled by Intuit Payments Inc. in accordance with applicable PCI DSS standards.

6. Data and Content

You retain ownership of all data you enter into the Application ("User Data"). You grant us a limited license to store, process, and transmit your User Data solely to provide the Application services. We will not sell or share your User Data with third parties except as necessary to provide the services or as required by law.

7. Intellectual Property

The Application, including its design, code, features, and documentation, is owned by ArborNature Site Solutions, Inc. and is protected by copyright and other intellectual property laws. This Agreement does not transfer any ownership rights to you.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARBORNATURE SITE SOLUTIONS, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APPLICATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESS TO THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your access to the Application at any time, with or without cause, and with or without notice. Upon termination, your right to use the Application ceases immediately. Provisions that by their nature should survive termination will remain in effect.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions.

12. Changes to This Agreement

We reserve the right to modify this Agreement at any time. Changes will be effective upon posting the updated Agreement. Your continued use of the Application after changes are posted constitutes acceptance of the modified Agreement.
